The agreement between SalesUp and the people who use it.

SalesUp connects brands with affiliates and settles the money between them. These terms describe what each side agrees to.

SalesUp is pre-launch. Where that changes what is true today — about money, and about availability — the section says so.

1 Who this agreement is with

By using SalesUp you agree to the terms on this page. Your agreement is with the company that operates SalesUp.

The operating company's legal name, the country whose law governs this agreement, and where a dispute would be heard. SalesUp will not name a jurisdiction it has not chosen.

2 The three roles

  • A brand publishes offers and pays for results.
  • An affiliate promotes offers and is paid for results.
  • SalesUp's operators review, mediate and settle. Operator seats are internal to SalesUp and are not open to brands or affiliates.
  • An account is reviewed before it can be used. SalesUp may decline or suspend an account, and states the reason for its decision.

3 SalesUp stands between the two sides

A brand contracts with SalesUp. An affiliate contracts with SalesUp. Brands and affiliates do not contract with each other.

This is the architecture of the product, not a formality. Because neither side is the other's counterparty, neither side needs the other's identity, bank details or legal name — which is what makes the next section possible rather than merely promised.

4 The anonymity clause

SalesUp will not disclose an affiliate's identity to a brand. This is a term of this agreement, not a preference and not a setting.

  • A brand agrees not to attempt to identify an affiliate: not by asking SalesUp, not by asking the affiliate, not by correlating data across offers or over time, and not by using a tracking link or a creative to reach an affiliate's audience for that purpose.
  • An affiliate agrees not to approach a brand outside the platform in a way that defeats the same rule.
  • A deliberate attempt to defeat this clause is a material breach and grounds for immediate termination, and any reward earned through it may be withheld.

5 Offers, review and joining

  • A brand creates an offer as a draft and submits it. It does not become visible to affiliates until SalesUp has reviewed and approved it. SalesUp may reject an offer, and the reason is recorded.
  • An offer may require an affiliate to complete training and pass a quiz before joining. Where it does, passing is a condition of receiving the tracking link, not a formality.
  • A brand may pause its own offer at any time. SalesUp may block an offer.

6 Tracking, attribution and reversal

  • Reward is earned on the events an offer defines — a click, an action, or both — recorded against the tracking asset issued to that affiliate for that offer.
  • The event stream is append-only. A correction is recorded as a new event, never as an edit to an old one.
  • A conversion can be reversed — a refund, a cancellation, or a finding of fraud — and a reversal reverses the reward that followed it. This is why a reward clears before it is paid.
  • Each offer states its own clearing period. A reward is held for that period, and becomes available for payout after it.
  • SalesUp's fraud tooling recommends; a human decides. No automated system reverses money on its own.

7 What is not allowed

  • Traffic you did not honestly earn: bots, click farms, automated or self-referred clicks, or any form of cookie stuffing.
  • Misrepresenting a brand, its product, its price or the terms of its offer.
  • Incentivizing a click or an action unless that offer permits it.
  • Bidding on a brand's trademarks, or presenting yourself as the brand, unless that offer permits it.
  • Using a tracking link in a channel the offer excludes.
  • Attempting to identify an affiliate, or to reach around SalesUp and contract with one directly.
  • Sharing an account, or using an account that is not yours.

SalesUp may withhold or reverse a reward earned in breach of this section, and may suspend or terminate the account behind it. The evidence for such a decision is kept in the append-only record described on the Privacy page.

8 Money

  • A brand is invoiced for the rewards its offers generate, together with SalesUp's fee and any subscription its plan carries.
  • An affiliate is paid by SalesUp out of SalesUp's own balance once rewards have cleared. An affiliate is never paid by a brand directly.
  • Nothing recorded in TEST mode creates an obligation to pay or a right to be paid. TEST rewards never enter the ledger, and TEST payments run against a test gateway.

Today the payment and payout rails are not connected to a live provider. Until they are, no invoice raised on this platform is collectible and no payout is due.

SalesUp's fee and how it is calculated, plan prices, the currency, VAT treatment, and invoice payment terms. No rate is printed here because the product does not yet hold one it can enforce, and a number on this page that the system does not apply would be a promise the app cannot keep.

9 The in-app assistant

The assistant can propose actions. Every action that changes something requires a human confirmation, and you are responsible for what you confirm exactly as if you had done it yourself.

The assistant can be wrong. Nothing it produces is advice — legal, financial, tax or otherwise.

10 What you upload

  • You keep ownership of what you upload — creatives, copy, logos and briefs.
  • You grant SalesUp the licence it needs to host that material and show it to the people the offer is meant for: a brand's creatives are shown to the affiliates who joined that offer.
  • You are responsible for holding the rights to what you upload.

11 Availability, and what SalesUp does not promise

SalesUp offers no uptime guarantee today. It is pre-launch software: it can be unavailable, slow, or wrong.

What it does commit to is this: it will not knowingly present a number it cannot support. Where the product does not know something, it says so rather than showing a plausible figure. That is a design rule inside the codebase, and it is the nearest thing to a warranty this page offers.

12 Ending the agreement

  • You can stop using SalesUp at any time and ask for your account to be closed. The Privacy page describes what happens to your data when you do.
  • SalesUp can suspend or terminate an account for a breach of "The anonymity clause" or of "What is not allowed", and states the reason.
  • Cleared rewards already owed to an affiliate survive termination, except where they were earned in breach of these terms.

13 Changes, and how to reach SalesUp

The date at the top is the day these terms were last written. Every material change moves that date.
